Terms of Service

Welcome to Wave (Claims AI, Inc. d/b/a Wave)! These Terms of Service ("Terms") govern your access to and use of our website buildwithwave.com, apps, and related services (collectively, the "Service"). By using Wave, you agree to these Terms. If you do not agree, please stop using the Service.

1. Accounts

You must be at least 18 years old to use Wave. You are responsible for protecting your login credentials and for all activity under your account, including any activity by team members you invite.

2. Payments

Wave operates on a paid-subscription basis. Fees are billed monthly or annually through our payment processor (currently Stripe). You authorize recurring payments until you cancel. Fees are non-refundable except where required by law.

3. Acceptable Use

• Do not reverse-engineer or decompile Wave's code or models.
• Do not use Wave to build or train a competing product.
• Do not use the Service for illegal, fraudulent, or harmful purposes (including insurance fraud).
• Do not attempt unauthorized access or interfere with the Service.
• Do not share credentials or content outside your organization without permission.

4. Estimates Disclaimer

Wave uses artificial intelligence to assist with estimate creation. Estimates may contain errors or omissions. You are solely responsible for verifying accuracy before relying on them. Wave is not liable for any loss or damage arising from inaccurate or incomplete estimates.

5. Termination

We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if we discontinue the Service. You may stop using Wave and request account deletion at any time, provided no separate contract or obligation remains in effect.

6. Intellectual Property and Data Ownership

All technology, algorithms, models, and branding in Wave belong to Claims AI, Inc. or our licensors.

Your Data. You own the project data you upload, including customer information, measurements, photos, and job details. By using Wave, you grant us a non-exclusive, worldwide, royalty-free license to host, process, analyze, and use your data to operate and improve the Service, maintain system performance and security, and use aggregated or anonymized data for analytics or model enhancement.

Your Estimates. You retain full use of all estimates generated through Wave for your business purposes. The underlying technology, templates, and AI models used to generate those estimates remain the property of Claims AI, Inc. You may export, share, and use your estimates without restriction for lawful business purposes.

7. Third-Party Services

Wave integrates with third-party providers (hosting, analytics, payment processing, etc.). Those services have their own terms and privacy policies, and Wave is not responsible for their acts or omissions.

8. No Warranty

The Service is provided "as is" and "as available." We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the fullest extent permitted by law:

• Wave and its affiliates will not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill.
• Our total cumulative liability for any claim is limited to the amount you paid in the 12 months preceding the claim.
• Wave is not responsible for any unauthorized access, loss, or disclosure of data caused by events beyond our reasonable control, including security breaches, network failures, or third-party attacks.

10. Indemnification

You agree to indemnify, defend, and hold harmless Wave, its officers, employees, and affiliates from any claim, loss, or expense (including attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of New Jersey, excluding conflict-of-law principles. Disputes will be resolved by binding arbitration under the rules of the American Arbitration Association. You waive any right to participate in class actions or jury trials.
